Terms of service
These terms apply between Marco Jost, Sarun Desk, Allmendstrasse 9, 6048 Horw, Switzerland («we») and the firm that uses Sarun Desk («you»). Part A covers the service, part B the processing of personal data on your behalf.
Part A – The service
1. What Sarun Desk is
Sarun Desk is online software for audit, tax and accounting firms. It is provided as a subscription through the internet. You do not receive a copy of the software.
2. Trial and subscription
You can try Sarun Desk free of charge for 30 days. The subscription then starts with the plan you choose. The plans and their prices are shown on sarundesk.com or in your offer.
3. Prices and payment
- Prices are in US dollars and exclude taxes and duties.
- If a tax must be withheld from a payment to us in your country (for example the withholding tax in Cambodia), you pay it in addition, so that we receive the full invoiced amount. VAT due in your country under the reverse-charge rules is accounted for by you.
- Subscriptions are invoiced monthly or yearly in advance. Invoices are payable within 14 days by bank transfer.
- If an invoice remains unpaid after a reminder, we may suspend access until payment; your data remains stored.
4. Term and cancellation
The subscription runs for the chosen billing period and renews automatically. Either party can cancel at the end of a billing period by e-mail. After the end, you can export your data for 30 days; then we delete it as described in part B.
5. Your responsibilities
- You decide who in your firm gets access, keep your users' e-mail accounts secure, and remove people who leave.
- You make sure you are allowed to enter the data you store in Sarun Desk, including data about your clients and staff.
- You do not use Sarun Desk for unlawful purposes and do not try to access other firms' data or disturb the service.
6. Availability and changes
We aim for high availability but cannot guarantee uninterrupted operation. We announce planned maintenance in advance where possible. We develop Sarun Desk further; we may change functions as long as the core purpose remains and you are not unreasonably disadvantaged.
7. Support
Support is provided by e-mail and Telegram on Swiss and Cambodian working days.
8. Your data
Your data remains yours. You can export it at any time. We use it only to provide the service to you.
9. Liability
We are liable for damage caused intentionally or by gross negligence. For slight negligence, our liability is limited to the fees you paid in the 12 months before the damage occurred. We are not liable for indirect damage or lost profit, as far as the law allows. You remain responsible for meeting your own legal and professional deadlines.
10. Confidentiality
Both parties keep confidential information of the other party secret, also after the end of the contract.
11. Changes to these terms
We may change these terms with 30 days' notice by e-mail. If you do not agree, you can cancel before the change takes effect.
12. Law and jurisdiction
Swiss law applies. The courts at the operator's place of business (Horw, Canton of Lucerne) have jurisdiction.
Part B – Data processing on your behalf
When you store personal data about your clients, their contact persons and your staff in Sarun Desk, you are responsible for this data (controller) and we process it on your behalf (processor), under Art. 9 of the Swiss FADP and, where applicable, Art. 28 GDPR.
1. Subject and duration
We process the data only to provide Sarun Desk to you, for the duration of the subscription.
2. Kinds of data and people
Contact and company details of your clients, documents uploaded by you or your clients, invoices, data about your staff (names, e-mail addresses, roles, timesheets, leave), and any other data you choose to enter.
3. Our obligations
- We process the data only on your documented instructions; using Sarun Desk and its settings counts as such instructions.
- Everyone at Sarun Desk with access to the data is bound to confidentiality.
- We protect the data with appropriate technical and organisational measures: encrypted connections, separation of firms in the database, role-based access, backups, and access to the systems only for support and maintenance.
- We help you answer requests from people exercising their data protection rights.
- We inform you without undue delay if we become aware of a breach of data security affecting your data.
- At the end of the subscription we delete your data within 30 days after the export period, unless the law requires us to keep it.
4. Sub-processors
You agree that we use the providers listed in our privacy policy (section 6). We will inform you in advance of new sub-processors; you may object for good reason and, if no solution is found, cancel the subscription.
5. Transfers abroad
The database is located in Singapore. Transfers to countries without adequate data protection are based on standard contractual clauses or other safeguards permitted by law.
6. Checks
On request, we provide the information you need to check that we meet these obligations.
